Figma is seeking a Director, Corporate & Securities Counsel to lead their legal team focused on securities law compliance and corporate governance. This role requires strong leadership skills and experience in managing legal processes for public companies.
You have significant experience in corporate law, particularly in securities compliance and corporate governance — you've navigated the complexities of public company reporting and understand the nuances of SEC filings. Your leadership skills are top-notch, and you thrive in a collaborative environment where you can guide a team of lawyers while also being an exceptional cross-functional partner. You are detail-oriented and have a strong grasp of legal frameworks that govern public companies, ensuring that all compliance measures are met with excellence.
Experience in a fast-growing tech company is a plus — you understand the unique challenges and opportunities that come with a dynamic business environment. Familiarity with equity processes and insider trading regulations will set you apart, as will your ability to communicate complex legal concepts to non-legal stakeholders.
In this role, you will lead the legal team responsible for securities law compliance and public company reporting — your expertise will guide the preparation and review of all SEC filings, including 10-K, 10-Q, 8-K, and Proxy Statements. You will advise and coordinate with internal working groups on all quarterly earnings items, ensuring that all communications are accurate and compliant. Additionally, you will lead the planning for the annual meeting of stockholders, preparing and managing board and committee meeting materials in partnership with senior leadership. Your role will also involve developing and overseeing corporate governance functions, ensuring that the company adheres to best practices in governance.
