Anthropic is seeking a Senior Corporate Counsel specializing in M&A to lead complex transactions and support the company's growth objectives. You'll work closely with corporate development and executive teams in San Francisco.
You are an experienced Corporate Counsel with a strong background in mergers and acquisitions — you have a proven track record of managing complex transactions from due diligence through execution and post-closing integration. Your expertise comes from significant experience at a nationally recognized law firm or in-house at a high-growth technology company, where you've successfully navigated both domestic and cross-border transactions.
You possess excellent communication skills, allowing you to work effectively with corporate development, finance, and executive teams — your ability to articulate legal concepts clearly and concisely is essential in this role. You are detail-oriented and have a strong understanding of corporate governance and securities compliance, which will enable you to contribute to general corporate matters beyond M&A.
You thrive in a fast-paced environment and are comfortable managing multiple priorities — your organizational skills and ability to adapt to changing circumstances make you a valuable asset to the legal team. You are committed to supporting Anthropic's mission of creating reliable and beneficial AI systems, and you understand the importance of aligning legal strategies with business objectives.
Experience in technology sectors or with public benefit corporations is a plus — familiarity with the unique challenges and opportunities in these areas will enhance your contributions to the team. A strong network of contacts within the legal and corporate development communities can also be beneficial as you lead strategic transactions.
In this role, you will lead all aspects of M&A transactions, including acquisitions, divestitures, and minority investments — your responsibilities will encompass everything from initial due diligence to drafting, reviewing, and negotiating transaction documents. You will collaborate closely with various stakeholders to ensure that all legal aspects of transactions are thoroughly addressed and aligned with the company's strategic goals.
You will also be responsible for advising on corporate governance matters and ensuring compliance with securities regulations — your insights will help shape the company's approach to corporate governance and risk management. As Anthropic continues to scale, your role will be pivotal in supporting the legal needs of a rapidly growing organization.
You will engage in post-closing integration activities, ensuring that transactions are executed smoothly and that all legal obligations are met — your attention to detail will be crucial in this phase to mitigate risks and ensure compliance. You will also provide guidance on general corporate matters, contributing to the overall effectiveness of the legal team.
Anthropic offers competitive compensation and benefits, including optional equity donation matching and generous vacation and parental leave — we believe in supporting our employees' well-being and work-life balance. You will have flexible working hours and the opportunity to collaborate in a lovely office space with colleagues who share your commitment to building beneficial AI systems.
As a public benefit corporation, we are dedicated to creating a positive impact on society through our work — you will be part of a mission-driven team that values safety and reliability in AI. We encourage you to apply even if your experience doesn't match every requirement, as we value diverse perspectives and backgrounds.
